Terms & Conditions

The terms that govern your use of our website and engagement with our studio.

Last updated: June 11, 2026

1. Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of the codelaunch website and any web design, development, or related services we provide ("Services"). By accessing our website or engaging our Services, you agree to be bound by these Terms.

If you are entering into an agreement on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Services

codelaunch provides custom web development, design, maintenance, and related digital services as described in individual proposals, statements of work, or service agreements. The specific scope, deliverables, timeline, and fees for each project will be defined in a separate written agreement between you and codelaunch.

We reserve the right to refuse or discontinue Services at our discretion, including for projects that violate applicable laws or these Terms.

3. Client Responsibilities

When engaging our Services, you agree to:

  • Provide accurate project information, content, and feedback in a timely manner
  • Ensure you have rights to any materials, assets, or content you supply to us
  • Review deliverables and provide approval or revision requests within agreed timelines
  • Make payments according to the schedule outlined in your project agreement

Delays caused by late feedback, missing assets, or scope changes may affect project timelines and costs.

4. Payments & Refunds

Fees, payment schedules, and accepted payment methods are specified in your project proposal or contract. Unless otherwise agreed, a deposit is required before work begins, with remaining balances due upon milestone completion or project launch.

Deposits are generally non-refundable once work has commenced, as they reserve our team's time and cover initial discovery and planning. Refund requests for completed work will be evaluated on a case-by-case basis in accordance with your signed agreement.

5. Intellectual Property

Upon full payment, you receive ownership of the final deliverables created specifically for your project, excluding third-party tools, libraries, frameworks, and pre-existing Codelaunch components or templates.

Codelaunch retains the right to display completed work in our portfolio, case studies, and marketing materials unless a confidentiality agreement states otherwise. We may also retain internal copies of project files for backup and reference purposes.

6. Revisions & Scope Changes

Each project includes a defined number of revision rounds as outlined in your agreement. Requests outside the agreed scope — including additional pages, features, integrations, or design directions — may require a change order with updated pricing and timeline estimates. We will always communicate scope changes before proceeding.

7. Warranties & Disclaimers

We warrant that Services will be performed in a professional and workmanlike manner consistent with industry standards. We do not guarantee specific business outcomes such as traffic, conversions, or revenue.

Our website and Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose, to the fullest extent permitted by law.

8. Limitation of Liability

To the maximum extent permitted by law, Codelaunch shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption. Our total liability for any claim arising from our Services shall not exceed the amount you paid to Codelaunch for the specific project giving rise to the claim during the twelve (12) months preceding the event.

9. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information shared during an engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Termination

Either party may terminate a project agreement as specified in the signed contract. Upon termination, you are responsible for payment of all work completed up to the termination date. We will deliver all completed work and project files upon receipt of outstanding payments.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable local laws, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation before pursuing other remedies.

12. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on this page with an updated "Last updated" date. Your continued use of our website or Services after changes constitutes acceptance of the updated Terms.
